Though\u00a0the corporate\u00a0is bestowed with the characteristic of a separate legal entity, it cannot make\u00a0the choices\u00a0on its own. Here\u00a0the foremost\u00a0crucial role is played by\u00a0the administrators\u00a0of\u00a0the corporate.<\/p>\n<p>Directors are the eyes and brain of\u00a0an organization.\u00a0to hold\u00a0out all\u00a0the required\u00a0functions and do all the effective\u00a0decision making,\u00a0an individual\u00a0is required and expected to possess expertise\u00a0within the\u00a0field to which\u00a0the corporate\u00a0belongs. But\u00a0other than\u00a0this, many requirements are needed to be complied with\u00a0in line with\u00a0the laws prevailing in our country. Minimum of 3, 2 and 1 director(s) would be required to incorporate a public, private and OPC, respectively.<\/li>\n<li><span style=\"color: #ff9900;\">EXECUTIVE DIRECTOR-<\/span>An\u00a0executive\u00a0could be a\u00a0director who is in whole-time employment of\u00a0an organization.<\/li>\n<li><span style=\"color: #ff9900;\">NON-EXECUTIVE DIRECTOR-<\/span>A Non-\u00a0executive director\u00a0is basically a\u00a0Non- working director of\u00a0a corporation\u00a0that&#8217;s\u00a0not an\u00a0administrator.<\/li>\n<li><span style=\"color: #ff9900;\">RESIDENT DIRECTOR<\/span>-Every company shall have\u00a0a minimum of\u00a0one director whose stay in India\u00a0isn&#8217;t\u00a0less than\u00a0182 days (for the previous calendar year) to be\u00a0referred to as\u00a0a resident director.<\/li>\n<li><span style=\"color: #ff9900;\">WOMEN DIRECTOR-<\/span> Every Listed Companies along with public companies having paid-up capital of Rs. 100 crore or more, or having turnover of Rs 300 crores or more, shall have a woman\u00a0director in their Board of Directors.<\/li>\n<li><span style=\"color: #ff9900;\">ADDITIONAL DIRECTOR<\/span>&#8211; Additional Director\u00a0may be a\u00a0director who is appointed\u00a0during a\u00a0board meeting\u00a0(except\u00a0an individual\u00a0who fails\u00a0to induce\u00a0appointed\u00a0within the\u00a0general meeting) who shall hold office up to\u00a0the subsequent\u00a0annual general meeting or the\u00a0date\u00a0on which the AGM should\u00a0have been\u00a0held, whichever is earlier.<\/li>\n<li><span style=\"color: #ff9900;\">ALTERNATE DIRECTOR-<\/span> An alternate director\u00a0is one, who is appointed as a substitute director, as against a director not present in India for a minimum period\u00a0of three\u00a0months. But a director of\u00a0the same\u00a0company and\u00a0an individual\u00a0holding an alternate directorship for\u00a0any other\u00a0director\u00a0within the\u00a0same company\u00a0cannot be\u00a0appointed as an alternate director.<\/li>\n<li><span style=\"color: #ff9900;\">SMALL SHAREHOLDER DIRECTOR-<\/span> The listed company may have\u00a0a small\u00a0shareholder director appointed by\u00a0the small\u00a0shareholders of\u00a0the corporate.\u00a0A small\u00a0shareholder\u00a0is basically a\u00a0shareholder not holding shares of the\u00a0face value more\u00a0than Rs. 20,000.<\/li>\n<li><span style=\"color: #ff9900;\">NOMINEE DIRECTOR<\/span>-A Nominee Director\u00a0could be a\u00a0Director appointed to the Board to represent the interest\u00a0within the\u00a0Company. The Nominee Director\u00a0be appointed as per the provisions provided under the law for the time in force.<\/li>\n<li><span style=\"color: #ff9900;\">DIRECTOR IN CASUAL VACANCY-<\/span> They are the directors appointed in case of casual vacancy of a director (who was elected\u00a0in a very\u00a0general meeting), who vacated the office before completing the tenure.<\/li>\n<li><span style=\"color: #ff9900;\">PROFESSIONAL DIRECTOR-<\/span> Director having expertise and skill\u00a0in a very\u00a0particular field and contributing to the board&#8217;s decision-making\u00a0could also be\u00a0appointed as\u00a0an expert\u00a0director.<\/li>\n<li><span style=\"color: #ff9900;\">INDEPENDENT DIRECTOR-<\/span>An independent director means a director\u00a0aside from\u00a0a\u00a0decision maker\u00a0or a whole-time director or a nominee director having no material or financial interest\u00a0within the\u00a0company or with\u00a0the administrators.\u00a0this sort\u00a0of director is gaining enormous attention\u00a0nowadays\u00a0thanks to\u00a0the frauds done by the board of\u00a0the companies\u00a0in India.<\/li>\n<li><span style=\"color: #ff9900;\">SHADOW DIRECTOR-<\/span>This\u00a0form of\u00a0director\u00a0isn&#8217;t\u00a0appointed as a director officially, but the board of\u00a0the corporate\u00a0acts on his directions.<\/li>\n<li><span style=\"color: #ff9900;\">DE-FACTO DIRECTOR-<\/span>De-facto director\u00a0isn&#8217;t\u00a0appointed as a director but acts as a director and\u00a0is additionally\u00a0held accountable by\u00a0the corporate\u00a0for his acts\u00a0within the\u00a0position of a director.<\/li>\n<\/ol>\n<h2><span class=\"ez-toc-section\" id=\"DUTIES_AND_RESPONSIBILITIES\"><\/span><span style=\"color: #000080;\">DUTIES AND RESPONSIBILITIES<\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>The erstwhile Companies Act, 1956 (&#8216;CA 1956&#8217;) contained no statement of statutory duties of directors, and acts of directors were usually reviewed\u00a0within the\u00a0context of their powers as per the section 291 of the CA 1956 and other applicable laws.<\/li>\n<li>The companies\u00a0Act, 2013 provides for the duties of directors and the same is provided in detailed format under Section 166. The general\u00a0duties of directors are as follows:<\/li>\n<li>To act in accordance with the articles of\u00a0the corporate, in other words, to act within powers;<\/li>\n<li>To act in\u00a0straightness\u00a0so as\u00a0to market\u00a0the objects of\u00a0the corporate\u00a0for the\u00a0advantage of\u00a0its members as a whole;<\/li>\n<li>To act\u00a0within the\u00a0best interest of\u00a0the corporate, its employees, shareholders, community and for the protection of environment;<\/li>\n<li>To exercise due and\u00a0tutelage, skill and diligence and independent judgment<\/li>\n<li>To avoid any sought of direct or indirect conflicts of interest;<\/li>\n<li>To avoid any sought of undue gain or advantage, that accrues either to himself or to any of their relatives, partners or associates; and<\/li>\n<li>Not to assign his office to\u00a0the other\u00a0person;<\/li>\n<li>A Director\u00a0is an element\u00a0of a collective body of Directors called the Board, which is\u00a0liable for\u00a0the superintendence, control and direction of the affairs of\u00a0the corporate. As per the common law rules and equitable principles, director&#8217;s duties have been largely derived from the law of agency and trusts. On\u00a0the opposite\u00a0hand, law of trusts imposes fiduciary duties on directors. Accordingly, directors are the trustees of the company&#8217;s money and property, and also act as agents\u00a0within the\u00a0transaction which they enter into on behalf of\u00a0the corporate. Directors are liable as trustees for breach of trust, if they misapplied the funds or committed breach of byelaws of\u00a0the corporate. A director\u00a0is predicted\u00a0to perform his duties as\u00a0a fairly\u00a0diligent person having the knowledge, skill\u00a0and experience\u00a0both of as person\u00a0completing\u00a0that director&#8217;s function and of that person himself. Therefore, a director plays various crucial roles\u00a0within the\u00a0company, and the same may act as an agent, an employee (when appointed on the rolls of the company),\u00a0an official\u00a0and\/or a trustee of\u00a0the corporate entity.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"LIABILITIES_OF_DIRECTORS\"><\/span><span style=\"color: #000080;\"><strong>LIABILITIES OF DIRECTORS <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ul>\n<li>Under CA 2013, directors\u00a0could also be\u00a0held liable as &#8220;officers&#8221; of\u00a0the corporate. The word &#8220;officer&#8221; has been defined\u00a0to incorporate, inter-alia, directors of\u00a0the corporate. CA 2013 provides for &#8216;officer who is in default&#8217; in order to affix the liability on such person, where any contravention of the provisions of the CA 2013 by\u00a0the corporate takes place. The ambit of &#8216;officer who is in default&#8217;\u00a0is sort of\u00a0wide and includes, inter alia:<\/li>\n<\/ul>\n<ol>\n<li style=\"list-style-type: none;\">\n<ol>\n<li>every whole-time director;<\/li>\n<li>every Key Managerial Personnel (&#8216;KMP&#8217;);<\/li>\n<li>where there is no KMP, then in such a case, the director(s) as specified by the Board, in its behalf or all directors, shall be the KMP;<\/li>\n<li>any\u00a0one that\u00a0is charged with any responsibility by the board or any KMP, actively participates in, knowingly permits, or knowingly fails\u00a0to require\u00a0active steps\u00a0to stop\u00a0any default;<\/li>\n<li>any person in accordance with whose advice, directions or instructions the Board of\u00a0the corporate\u00a0is\u00a0at home with\u00a0act,\u00a0aside from\u00a0someone\u00a0who gives advice to the Board\u00a0in an exceedingly\u00a0professional capacity; and<\/li>\n<li>every director, in respect of a violation of any of the provisions of the CA13, who is attentive to such contravention by virtue of the receipt by him of any proceedings of the Board or participation in such proceedings without objecting to the same, or where such contravention had taken place along with his consent or connivance.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<ul>\n<li>A director\u00a0may also\u00a0be made\u00a0answerable for\u00a0fraud. &#8220;Fraud&#8221; in\u00a0relevancy\u00a0affairs of\u00a0an organization\u00a0includes &#8220;any act, omission, concealment of any fact or abuse of position committed by\u00a0someone\u00a0or\u00a0the other\u00a0person with the connivance in any manner, with intent to deceive,\u00a0to realize\u00a0undue advantage from, or to injure the interests of,\u00a0the corporate\u00a0or its shareholders or its creditors or\u00a0the other\u00a0person, whether or not\u00a0there&#8217;s\u00a0any wrongful gain or wrongful&#8221;.<\/li>\n<li>Financial obligation\u00a0of Independent director and non-executive directors: CA 2013, however, limits the liability of an independent director or of non-executive directors (not being a promoter or KMP), who shall be liable, only in acts of omission or commission by\u00a0an organization, which (i) occurs\u00a0along with his\u00a0knowledge, attributable through board processes, and (ii) with their consent or connivance or where\u00a0they&#8217;d\u00a0not acted diligently.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"COMPOUNDABLE_VS_NON-COMPOUNDABLE_OFFENCES\"><\/span><span style=\"color: #000080;\"><strong>COMPOUNDABLE VS. NON-COMPOUNDABLE OFFENCES<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>\n<h3><span class=\"ez-toc-section\" id=\"Compoundable_Offences\"><\/span><span style=\"color: #000080;\">Compoundable Offences: <\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p style=\"padding-left: 40px;\">Many of the contraventions under CA 2013 are\u00a0within the\u00a0nature of non-compliances (such as failure to file annual return, contravention of provisions with\u00a0reference to\u00a0related party transactions, acceptance of deposits, giving of loans to directors etc. by the company)\u00a0which attract\u00a0either fine (or in some cases are punishable with fines or imprisonment or both). Such offences\u00a0will be\u00a0remedied or compounded, subject to relevant provisions\u00a0within the\u00a0Act, by paying late fees\/penalties\/fines as applicable.<\/p>\n<ul>\n<li>\n<h3><span class=\"ez-toc-section\" id=\"Non-Compoundable_Offences\"><\/span><span style=\"color: #000080;\">Non-Compoundable Offences: <\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<\/li>\n<\/ul>\n<p style=\"padding-left: 40px;\">On the other hand, there are certain serious contraventions being punishable with imprisonment only or with imprisonment and with fines. Thus, in such cases, where officers in default or persons concerned with formation of\u00a0the corporate\u00a0or the management of its affairs become liable\u00a0and hence can&#8217;t\u00a0be remedied\/compounded merely by depositing fines\/penalties. These liabilities\u00a0may be\u00a0imposed on\u00a0the administrators\u00a0if\u00a0they&#8217;re\u00a0in default (including non-executive directors)\u00a0no matter\u00a0the very fact\u00a0that\u00a0they&#8217;re\u00a0the executive\u00a0directors of\u00a0the corporate\u00a0or not.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Directors_Liability_Under_Other_Legislations\"><\/span><span style=\"color: #000080;\"><strong>Directors Liability Under Other Legislations<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>Being designated as a director\u00a0in a\u00a0company, contains a\u00a0cascading effect with\u00a0relevance\u00a0exposure of the director to liabilities under various other legislations. From\u00a0a short\u00a0study of\u00a0some\u00a0other legislations, we note that the duties and liability thereof, for non-compliances by\u00a0a corporation\u00a0typically vests with the person\u00a0to blame\u00a0of the conduct of business\/management of\u00a0the corporate.<\/li>\n<li>Other directors\/officers (whether executive or non-executive) of\u00a0the corporate\u00a0may\u00a0be held liable in certain cases:<\/li>\n<li>where the offence has been committed with the consent\/connivance of, or is\u00a0owing to, any neglect on the\u00a0part of\u00a0such director; or<\/li>\n<li>Such a director has been designated by\u00a0the corporate to blame\u00a0 the management of\u00a0the corporate\u00a0and\u00a0accountable for\u00a0compliances (as occupier\/owner) under certain legislations\u00a0which permit\u00a0for such nomination, failing which all directors of\u00a0the corporate.<\/li>\n<\/ul>\n<p>Because the liability under such legislations would typically fall on persons who are accountable of, and responsible to, the corporate for the conduct of the business of the corporate, as a safeguard, companies often designate (and notify the relevant government authorities) a selected person to be to blame for compliances of relevant unit\/factory with relevancy certain legislations.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"SAFEGUARDS_OF_INTEREST\"><\/span><span style=\"color: #000080;\"><strong>SAFEGUARDS OF INTEREST<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>To safeguard their interest and avoid undue liability,\u00a0it&#8217;s\u00a0advisable that directors adopt a precautionary approach.\u00a0some\u00a0of the safeguards\u00a0which will\u00a0be considered and implemented are as follows:<\/p>\n<ul>\n<li>To attend meetings regularly;<\/li>\n<li>To be inquisitive and peruse agendas for unusual items and seek additional information in writing, if necessary;<\/li>\n<li>To\u00a0make sure that\u00a0disagreements\/dissenting views are recorded\u00a0within the\u00a0minutes;<\/li>\n<li>To act with honesty and with reasonable justifications, in running business operations;<\/li>\n<li>To report on the concerns related to unethical behavior, actual or suspected fraud or violation of the company&#8217;s code of conduct or ethics policy;<\/li>\n<li>To seek some sought of professional advice, by establishing audit committees, or engaging external agencies, if situation demands;<\/li>\n<li>To engage external agencies in order to address whistleblowing issues.\u00a0The corporate\u00a0may consider appointing an external agency for whistleblowing reporting;<\/li>\n<li>To provide for the requisite disclosures in respect of interests\/conflicts,<\/li>\n<li>In respect of ongoing as well as day to day compliances, they need to have a competent compliance team and establish committees and<\/li>\n<li>To include indemnity provisions within the letter of appointment and seek Directors &amp; Officers insurance from the corporate to shield against malicious actions.<\/li>\n<\/ul>\n","protected":false},"excerpt":{"rendered":"<p>DIRECTORS AND ITS COMPLIANCES REGULATORY PROVISIONS A company\u00a0is made\u00a0by law and is\u00a0an artificial\u00a0judicial person having its distinct entity.
