Disqualification Of Directors<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><strong>\u00a0<\/strong>The Act\u00a0provides for a\u00a0dedicated provision, which is Section 162 that underlines\u00a0the explanations\u00a0that\u00a0an individual\u00a0might not\u00a0appoint as a director.\u00a0there&#8217;s\u00a0no such provision regarding the qualification under the Act. However, requirements\u00a0are\u00a0listed as below:<\/p>\n<ol>\n<li>The said person should have completed 18 years age or above.<br \/>\n2. Nationality\u00a0are often\u00a0that of Indian or otherwise.<br \/>\n3. The person must be in receipt of his own Digital Signature Certificate (DSC) and the same be used for obtaining Director\u2019s\u00a0identification number\u00a0(DIN).<br \/>\n4. The person\u00a0shall also\u00a0furnish a written declaration providing his consent to act\u00a0as the Director and\u00a0he&#8217;s\u00a0not\u00a0someone\u00a0who falls under the category of disqualified members.<br \/>\n5.\u00a0there&#8217;s\u00a0no academic qualification that\u00a0has to\u00a0be held by the\u00a0one who\u00a0is desirous of obtaining the directorship of\u00a0a corporation.<\/li>\n<\/ol>\n<h3><span class=\"ez-toc-section\" id=\"DISQUALIFICATION_OF_DIRECTORS\"><\/span><span style=\"color: #000080;\"><strong>DISQUALIFICATION OF DIRECTORS<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<figure id=\"attachment_3811\" aria-describedby=\"caption-attachment-3811\" style=\"width: 915px\" class=\"wp-caption alignnone\"><a href=\"https:\/\/www.caindelhiindia.com\/blog\/wp-content\/uploads\/2021\/08\/Liablity-Qualification-Disqualification-Of-Directors..jpg\"><img loading=\"lazy\" decoding=\"async\" class=\" wp-image-3811\" src=\"https:\/\/www.caindelhiindia.com\/blog\/wp-content\/uploads\/2021\/08\/Liablity-Qualification-Disqualification-Of-Directors..jpg\" alt=\"Disqualification Of Directors.\" width=\"915\" height=\"404\" srcset=\"https:\/\/www.caindelhiindia.com\/blog\/wp-content\/uploads\/2021\/08\/Liablity-Qualification-Disqualification-Of-Directors..jpg 639w, https:\/\/www.caindelhiindia.com\/blog\/wp-content\/uploads\/2021\/08\/Liablity-Qualification-Disqualification-Of-Directors.-300x132.jpg 300w\" sizes=\"(max-width: 915px) 100vw, 915px\" \/><\/a><figcaption id=\"caption-attachment-3811\" class=\"wp-caption-text\"><span style=\"color: #ffffff;\">Disqualification Of Directors.<\/span><\/figcaption><\/figure>\n<p>Section 164(1) provides grounds on which\u00a0someone\u00a0becomes disqualified to act as a director.\u00a0someone\u00a0shall not be eligible to become a director of\u00a0a corporation\u00a0if he<\/p>\n<ul>\n<li>is an undischarged insolvent or has applied for it and his application\u00a0continues to be\u00a0pending<\/li>\n<li>has been convicted for any offence and sentenced to imprisonment for a minimum period of six months and five years\u00a0haven&#8217;t\u00a0passed from the last date of his sentence (A\u00a0one who\u00a0has been convicted and sentenced for seven years or more becomes ineligible for all time).<\/li>\n<li>Any order disqualifying the director, for appointment as a director, and the same be passed by\u00a0a court or Tribunal<\/li>\n<li>has not paid any calls in respect of any shares of\u00a0the corporate\u00a0held by him\u00a0and 6\u00a0months have elapsed from the\u00a0date\u00a0of payment<\/li>\n<li>has been convicted in respect of an offence\u00a0addressing\u00a0related party transactions as per section 188 during the preceding five years<\/li>\n<li>has not been allotted a Director\u00a0identification number\u00a0(discussed later\u00a0within the\u00a0text)<\/li>\n<li>accepts directorships exceeding\u00a0the most\u00a0number of directorships provided in section 165, which brings us to our next topic, which is about\u00a0the bounds\u00a0imposed on\u00a0the quantity\u00a0of directorships that\u00a0someone\u00a0can hold at\u00a0only once.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"LIMITS_ON_NUMBER_OF_DIRECTORSHIPS\"><\/span><span style=\"color: #000080;\"><strong>LIMITS ON NUMBER OF DIRECTORSHIPS<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p><span style=\"color: #000000;\">A person is allowed to hold directorship\u00a0in maximum of 20 companies at\u00a0one point of time\u00a0(including alternate directorship but excluding dormant companies). This limit\u00a0doesn&#8217;t\u00a0apply to Section 8 companies. However, in case of public companies (including their private holding or subsidiary companies) the said limit has been reduced to only ten.<\/span><\/p>\n<h3><span class=\"ez-toc-section\" id=\"DIRECTOR_IDENTIFICATION_NUMBER_DIN\"><\/span><span style=\"color: #000080;\"><strong>DIRECTOR IDENTIFICATION NUMBER (DIN)<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A person is disqualified from acting as a company&#8217;s director if he has not obtained\u00a0a legitimate\u00a0DIN. DIN\u00a0could be a\u00a0unique\u00a0identification number\u00a0that may\u00a0be obtained by\u00a0somebody\u00a0who intends to be a director or is already acting as a director\u00a0during a\u00a0company but has not obtained a DIN. One director is allowed to hold only one DIN at a time.\u00a0Just in case\u00a0if a director has wrongly obtained two DINs, then\u00a0he&#8217;s\u00a0required to surrender his latest DIN.<\/p>\n<p>Forms required for obtaining or surrendering DIN are mentioned later\u00a0during this\u00a0article.<br \/>\nDIN\u00a0may also\u00a0be obtained through the SPICE form at the time of incorporating\u00a0the corporate\u00a0(Up-to 3 DINs\u00a0is\u00a0applied for).<\/p>\n<h3><span class=\"ez-toc-section\" id=\"DOCUMENTS_FOR_OBTAINING_DIN\"><\/span><span style=\"color: #000080;\"><strong>DOCUMENTS FOR OBTAINING DIN <\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<ol>\n<li>Proof of Identity of the applicant (duly attested attachment)<\/li>\n<\/ol>\n<ul>\n<li style=\"list-style-type: none;\">\n<ul>\n<li>Indian national-PAN is mandatory<\/li>\n<li>Foreign national-Passport<\/li>\n<\/ul>\n<\/li>\n<\/ul>\n<ol start=\"5\">\n<li>Proof of residence of the applicant (duly attested attachment)<\/li>\n<li>Photograph (format-JPG, max size-100kb)<\/li>\n<li>DSC of the applicant<\/li>\n<li>Attestation by any existing director of the corporate within which the person proposes to be a director. Fees to be submitted-Rs 500<\/li>\n<\/ol>\n<h3><span class=\"ez-toc-section\" id=\"APPOINTMENT_OF_DIRECTORS\"><\/span><span style=\"color: #000080;\"><strong>APPOINTMENT OF DIRECTORS<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The appointment of a director is often made by<\/p>\n<ul>\n<li>Subscribing to the memorandum (First Director)<br \/>\n\u2022Passing a resolution\u00a0during a\u00a0General Meeting (Director\/ Regularization\/ \\ Reappointment)<br \/>\n\u2022 Board of Directors (Alternate\/ Casual\/ Additional Director)<br \/>\n\u2022 Small Shareholders (Small shareholders director)<br \/>\n\u2022 Tribunal<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"DUTIES_OF_A_DIRECTOR\"><\/span><span style=\"color: #000080;\"><strong>DUTIES OF A DIRECTOR<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>Section 166 talks about the duties which a director has got to perform in a company. Their duty is<\/p>\n<ul>\n<li>To act in\u00a0good faith<br \/>\n\u2022 To act as per the articles of\u00a0the corporate<br \/>\n\u2022 To exercise\u00a0care\u00a0and diligence<br \/>\n\u2022 To avoid any sought of conflict of interest and hence do not make any undue gain<br \/>\n\u2022 Not to assign his office to the other person<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"RESIGNATION_OF_DIRECTOR\"><\/span><span style=\"color: #000080;\"><strong>RESIGNATION OF DIRECTOR<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A director is required to administer notice to the corporate intimating his resignation. The date of resignation shall be the date of receiving the data by the corporate or any date which is mentioned by the director within the notice (whichever is later).<\/p>\n<p>After\u00a0taking note\u00a0of this,\u00a0the corporate\u00a0shall inform the registrar about this within 30 days of his resignation. If\u00a0the corporate\u00a0fails or refuses to file the director&#8217;s resignation, then the director\u00a0can even\u00a0intimate about his resignation\u00a0within the\u00a0prescribed form. (In Karn Gupta v. Union of India case,\u00a0it had been\u00a0held that if a director has resigned before\u00a0the particular\u00a0default, but\u00a0the corporate\u00a0fails\u00a0to tell\u00a0the ROC about his resignation, then the director&#8217;s resignation shall not be rendered invalid and he\u00a0won&#8217;t\u00a0be\u00a0accountable for\u00a0the default.<\/p>\n<p>A director are going to be held accountable for all the actions done by him during his directorship within the office. (In the case of Alibaba Nabibasha, it had been held that a director isn&#8217;t answerable for any act done by the corporate after his resignation).<\/p>\n<h3><span class=\"ez-toc-section\" id=\"REMOVAL_OF_A_DIRECTOR\"><\/span><span style=\"color: #000080;\"><strong>REMOVAL OF A DIRECTOR<\/strong><\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>A company or its shareholders may remove its director by passing a standard resolution (but not the director appointed by the tribunal). An independent director (appointed on his second term within the company) can only be removed after passing a special resolution by the shareholders.<\/p>\n<p>The tribunal may also remove a director if it&#8217;s received any application of oppression and mismanagement within the company and if it deems acceptable remove the director.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"VACATION_OF_OFFICE_OF_DIRECTOR\"><\/span><span style=\"color: #000080;\">VACATION OF OFFICE OF DIRECTOR<\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>The director shall vacant the office where,<\/p>\n<ul>\n<li>Becomes disqualified to act as a director (if the director has\u00a0did not\u00a0file financial statements and annual returns of\u00a0an organization\u00a0for 3\u00a0years continuously, then he shall vacate his office\u00a0altogether\u00a0the businesses\u00a0but not\u00a0the corporate\u00a0during which\u00a0he has defaulted.<\/li>\n<li>Fails to attend any\u00a0board meeting\u00a0for a continuous period of twelve months.<\/li>\n<li>Contravenes the provisions\u00a0associated with\u00a0contracts\u00a0within which\u00a0the director was interested.<\/li>\n<li>Any court&#8217;s order, restricting the director from appointing in any company.<\/li>\n<li>Is removed\u00a0in line with\u00a0the provisions of the Act<\/li>\n<li>Was appointed\u00a0due to\u00a0his holding office in\u00a0another\u00a0company and has ceased\u00a0to carry\u00a0office\u00a0in this\u00a0company.<\/li>\n<li>Ceases to be\u00a0a tiny low\u00a0shareholder or fails\u00a0to fulfill\u00a0the factors\u00a0of independence (in case of small shareholders director)<br \/>\nPrivate companies are allowed to produce some additional grounds also in their articles.<\/li>\n<\/ul>\n<h3><span class=\"ez-toc-section\" id=\"ANNUAL_ROTATION_OF_DIRECTOR\"><\/span><span style=\"color: #000080;\">ANNUAL ROTATION OF DIRECTOR\u00a0<\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>AOA may provide for the retirement of each director by rotation in a company. But if there&#8217;s no clause associated with it mentioned within the AOA, then, therein case, a minimum of two-thirds of the whole number of directors shall be prone to retire by rotation and be appointed within the AGM of the corporate (in case of a Listed company). Out of these directors who are at risk of retire, one-third of the administrators shall retire once a year at the Annual General Meeting. Where the directors are less than three, then, one-third of the directors shall retire from office.<\/p>\n<p>The directors\u00a0susceptible to\u00a0retire by rotation at every AGM shall be\u00a0those that\u00a0have the longest tenure in office since their last date of appointment, but as between persons who became directors on\u00a0the identical\u00a0day, be determined by lot as agreed between them.<\/p>\n<p>Small shareholders directors, independent directors and nominee directors are not susceptible to retire by rotation.<\/p>\n<h3><span class=\"ez-toc-section\" id=\"DISCLOSURE_OF_INTEREST_BY_DIRECTOR\"><\/span><span style=\"color: #000080;\">DISCLOSURE OF INTEREST BY DIRECTOR\u00a0<\/span><span class=\"ez-toc-section-end\"><\/span><\/h3>\n<p>All the administrators are required to disclose their interests in any company if any. This disclosure shall be made at his first meeting and also the first meetings within the subsequent financial years.
